Merchant Agreement


This Merchant Agreement ("Agreement") governs the relationship between Credmint Innovation Private Limited (CIN: U62011MP2025PTC078731, GSTIN: 23AANCC0644G1ZX, "OVVEE") and you ("Merchant") when you use the OVVEE platform to operate an online business. This Agreement supplements the Terms of Service and applies to all four business types supported by OVVEE.


1. Merchant Registration & Business Types


Merchants must select one of the four supported business types at registration:

  • Ecommerce — Online product stores (8 categories including Fashion, Electronics, Beauty, Grocery, Jewellery, Sports, Home & Living, Books & Stationery)
  • Restaurant & Food — Digital menus and food ordering (9 categories including Café, Fine Dining, Cloud Kitchen, Bar & Brewery, Bakery, Street Food, etc.)
  • Services — Appointment and booking-based businesses (13 categories including Salon & Spa, Clinic, Legal, CA, Fitness, Education, Photography, Real Estate, and more)
  • Informational Websites — Brand and content websites (9 categories including Agency, Portfolio, NGO, Studio, Blog, etc.)

  • You may upgrade or change your business type subject to plan availability.


    2. Merchant Obligations


  • Provide accurate and complete business information, including GSTIN (if applicable), business name, and contact details
  • Maintain all required licences and registrations for your business type and category (e.g., FSSAI for food, medical council registration for clinics, RERA for real estate)
  • Fulfil all orders, appointments, and bookings made through your store promptly
  • Respond to customer queries and complaints within a reasonable timeframe
  • Keep your store information, menu, product catalogue, and pricing accurate and current
  • Comply with all applicable Indian laws including the Consumer Protection Act 2019, GST Act, IT Act, and sector-specific regulations

  • 3. Platform Fees


    Subscription fees are as listed on the OVVEE Pricing page. Fees vary by plan tier and may differ across business types. OVVEE may introduce or modify fees with 30 days' notice. All fees are inclusive of applicable GST unless otherwise stated.


    In addition to subscription fees, OVVEE may levy a per-transaction platform fee on orders or bookings processed through your store. The applicable per-transaction fee, if any, will be disclosed at onboarding or communicated via written notice at least 30 days prior to its introduction or modification. Per-transaction platform fees may be uniform across all merchants or may vary by business type, plan tier, order volume, or category, at OVVEE's discretion. Current applicable rates, if any, are available in your Admin Panel under Settings → Billing.


    4. Payment Settlements


    Payments collected through your store via your approved and connected payment collection method are settled directly to your registered bank account as per the respective payment provider's settlement schedule. OVVEE does not hold merchant funds. Settlement timelines are governed by the terms of the payment provider you have integrated and applicable RBI regulations. OVVEE is not responsible for delays, holds, or reversals initiated by the payment provider or banking institutions.


    4A. Third-Party Services & Integrations


    OVVEE integrates with various third-party service providers — including payment gateways, logistics partners, communication services, and analytics tools — to enable platform functionality. The following terms apply to all such integrations:


  • OVVEE does not own, operate, or control any third-party service and is not responsible for its availability, performance, accuracy, or reliability.
  • If a third-party service experiences downtime, processing errors, settlement delays, data loss, or any failure of any kind, OVVEE shall not be held liable for any resulting impact on your store operations, revenue, customer experience, or data.
  • Third-party providers operate under their own terms of service, privacy policies, and service level agreements. Merchants are encouraged to review these independently before enabling any integration.
  • OVVEE does not guarantee the continuous availability of any specific third-party integration and reserves the right to add, modify, or discontinue integrations at any time, with reasonable notice where practicable.
  • In the event of a material third-party failure, OVVEE will make reasonable efforts to communicate the issue to affected merchants but cannot guarantee resolution timelines or specific outcomes.

  • 5. Data Ownership


    You own all data generated by your store — including product/menu data, customer records, order history, and booking data. OVVEE processes this data solely to provide the platform services as described in our Data Processing Agreement.


    6. Brand Usage


  • Merchants may not imply endorsement by OVVEE without written consent.
  • OVVEE may reference merchant names/logos in case studies or marketing materials unless the merchant opts out in writing.
  • The OVVEE name, logo, and trademarks may not be used by merchants without written permission.

  • 7. Prohibited Conduct


    Merchants may not use the platform for any activity prohibited under the Acceptable Use Policy, including selling prohibited goods, fraudulent listings, or operating in violation of applicable law.


    8. Suspension & Termination


    OVVEE reserves the right to suspend or terminate merchant accounts that:

  • Violate this Agreement, the Terms of Service, or the Acceptable Use Policy
  • Generate a disproportionate number of customer complaints or chargebacks
  • Are found to be operating illegally or without required licences

  • 7. Custom Domain


    OVVEE provides every merchant a free subdomain (yourstore.ovvee.com) and allows connection of a custom domain (e.g., yourclinic.com, yourfirm.in). Custom domain terms:

  • You register and maintain your domain independently with a registrar of your choice.
  • OVVEE provides DNS configuration instructions in the admin panel (Admin → Settings → Domains).
  • OVVEE is not liable for domain expiry, misconfigured DNS, or domain-related SEO loss.
  • Upon plan cancellation, your custom domain will be disconnected from OVVEE.

  • 8. Regulated Profession Obligations


    If you operate in a regulated profession category, the following mandatory obligations apply in addition to general merchant obligations:


    Healthcare (Clinics, Doctors, Dentists, Diagnostic Centres, Mental Health)

  • Must hold valid registration under the applicable Medical Council / NMC Act
  • Must display registration number on your OVVEE-powered website
  • Appointment booking through OVVEE does not constitute a doctor-patient relationship until consultation occurs
  • Must comply with Telemedicine Practice Guidelines 2020 if offering online consultations
  • Must not collect or store clinical health records, lab results, or prescription data through OVVEE forms

  • Legal Services (Advocates, Law Firms, Notaries)

  • Must hold valid Bar Council registration; display enrolment number on the website
  • Client enquiry forms and meeting scheduling are permitted; online legal advice dispensed through the platform remains the sole responsibility of the registered advocate
  • Must not use OVVEE to share confidential client documents or privileged communications

  • Financial & Accounting (CA, CS, Tax Consultants, Financial Advisors)

  • Must hold valid ICAI/ICSI membership or SEBI/IRDAI/RBI registration as applicable
  • Financial planning, investment advice, or tax consultation arranged via OVVEE booking is solely the merchant's responsibility
  • Must not store client financial documents or tax data through OVVEE

  • Real Estate

  • Must hold valid RERA registration where applicable
  • Property listings must accurately represent the property; misleading listings are prohibited

  • Education & Tutoring

  • Online classes or meeting links may be shared via OVVEE; actual instruction is the merchant's responsibility
  • Must comply with applicable state education regulations

  • Travel Agents & Tour Operators

  • Must hold valid IATA or state tourism department registration where applicable

  • For all regulated professions: OVVEE provides the platform infrastructure only. Professional conduct, regulatory compliance, licensing, and the quality and safety of services rendered to clients are entirely the merchant's responsibility. OVVEE assumes no liability whatsoever for professional services rendered through merchant stores.


    9. Platform Features & Future Updates


    OVVEE continuously adds new features including additional themes (free and premium), integrations, and tools across all four business types. Merchants acknowledge that:

  • Features available at signup may change over time
  • New premium features or themes may be offered at additional cost
  • OVVEE does not guarantee the permanent availability of any specific feature, theme, or integration

  • 10. Indemnification


    You agree to indemnify, defend, and hold harmless OVVEE, its directors, employees, contractors, and partners from any claims, liabilities, damages, penalties, fines, or expenses (including legal fees) arising from: (a) your store's operations; (b) professional services you render to your clients; (c) your violation of applicable laws or professional regulations; or (d) harm caused to end-customers by your products, services, or advice.
