1. Acceptance of Terms

By creating an account on OVVEE, you ("Merchant", "User") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Credmint Innovation Private Limited (CIN: U62011MP2025PTC078731, GSTIN: 23AANCC0644G1ZX, hereinafter "OVVEE", "we", "us"). If you do not agree to these Terms, you may not use the platform.

2. Platform Description

OVVEE is a Software-as-a-Service (SaaS) platform that enables merchants to create and operate online businesses across four business types:

Ecommerce: Online product stores across 8 categories (Fashion, Electronics, Beauty, Grocery, Jewellery, Sports, Home & Living, Books & Stationery)

Restaurant & Food: Digital menus, QR ordering, and food business management across 9 categories

Services: Appointment booking, client management, and service catalogues across 13 categories

Informational Websites: Professional websites for agencies, NGOs, portfolios, and more across 9 categories

3. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872. By registering, you represent that you meet these requirements.

4. Account Responsibilities

You are solely responsible for maintaining the confidentiality of your login credentials.

You are responsible for all activity occurring under your account.

You must provide accurate, complete, and current registration information.

You must promptly update your information if it changes.

5. Merchant Obligations

As a merchant using OVVEE, you agree to:

Accurately represent your products, services, menu items, or business information

Comply with all applicable Indian laws including the Consumer Protection Act 2019, GST Act, FSSAI regulations (for food businesses), IT Act 2000, and other sector-specific regulations

Fulfil orders, bookings, or appointments placed through your store in a timely manner

Handle customer complaints, refunds, and disputes as per your stated policies

Not use the platform for any unlawful, fraudulent, or prohibited purpose

6. Regulated Professions — Important Disclaimer

OVVEE is a technology platform. It provides tools to create websites, manage appointments, accept payments, and communicate with clients. OVVEE does not provide, endorse, or take any responsibility for professional advice, diagnoses, treatments, or services delivered by merchants.

The following categories of regulated professionals may use OVVEE to build their online presence and manage client scheduling, but are solely responsible for compliance with their profession-specific regulations:

Medical Professionals (Doctors, Dentists, Specialists, Clinics, Hospitals, Diagnostic Centres): Must hold valid registration under the Indian Medical Council Act / NMC Act. OVVEE enables appointment booking, patient enquiries, and website presence. It does not facilitate telemedicine consultations unless the merchant independently complies with the Telemedicine Practice Guidelines 2020 issued by the Ministry of Health. Merchants must not collect or store patient health records through OVVEE beyond basic appointment scheduling data.

Legal Professionals (Advocates, Law Firms, Notaries): Must hold valid registration with the Bar Council of India or relevant state Bar Council. OVVEE enables website presence, service listing, meeting scheduling, and client enquiry management. Legal advice is the sole responsibility of the registered advocate. OVVEE is not liable for any legal advice or representation offered through a merchant's store.

Financial & Accounting Professionals (CA, CS, Tax Consultants, Financial Advisors): Must hold valid ICAI/ICSI membership or SEBI/IRDAI registration as applicable. OVVEE enables appointment booking, service listing, document enquiry forms, and meeting scheduling. Investment advice or financial recommendations are solely the responsibility of the registered professional.

Mental Health Professionals (Psychologists, Therapists, Counsellors): Must hold relevant educational qualifications and registrations. OVVEE enables appointment booking and consultation scheduling. Therapeutic relationships and outcomes are the sole responsibility of the professional.

Other Licensed Professionals (Architects, Engineers, Real Estate Agents, Travel Agents, Insurance Agents): Must hold applicable licences (COA, RERA, IATA, IRDAI, etc.). OVVEE provides the platform; professional conduct and regulatory compliance remain solely with the merchant.

OVVEE expressly disclaims all liability for any harm, loss, or damage arising from the services, advice, diagnosis, or treatment provided by any regulated professional operating a business on the OVVEE platform.

7. Custom Domain

OVVEE allows merchants to connect a custom domain (e.g., yourbusiness.com) to their OVVEE-powered store. The following terms apply:

You are solely responsible for registering and renewing your custom domain with a domain registrar of your choice.

OVVEE provides DNS configuration instructions; connection support is available via the admin panel.

OVVEE is not responsible for domain expiry, DNS propagation delays, or loss of domain arising from actions by the domain registrar or the merchant.

Upon subscription cancellation, your custom domain will no longer point to your OVVEE store. Your domain registration itself remains unaffected.

All OVVEE stores also receive a free subdomain (yourstore.ovvee.com) which is active for the duration of your subscription.

8. Platform Features, Themes & Roadmap

OVVEE provides a growing library of professional themes across all four business types, including free and premium theme options. OVVEE regularly adds new features, themes, and integrations to the platform. The following terms apply:

The availability of specific features, themes, and integrations may change over time.

New premium themes or add-on features may be offered at additional cost with reasonable notice.

OVVEE does not guarantee that any specific feature, integration, or theme will remain available indefinitely.

Beta or preview features are provided "as-is" without warranty.

9. Platform Fees & Billing

Subscription fees are as described on the OVVEE Pricing page. OVVEE reserves the right to modify fees with 30 days' written notice. Failure to pay fees may result in suspension of your store. All fees are exclusive of applicable GST.

In addition to subscription fees, OVVEE may introduce a per-transaction platform fee on orders or bookings processed through your store. Such fees, if applicable, may be uniform across all merchants or may vary by plan, business type, or transaction volume. Merchants will be notified at least 30 days prior to the introduction or modification of any per-transaction fee.

9A. Third-Party Services

OVVEE integrates with third-party providers (payment gateways, logistics partners, communication services, and others) to deliver platform features. OVVEE does not own or operate these services and is not liable for any disruption, failure, delay, or data loss caused by a third-party provider. Third-party services are subject to their own terms and policies. OVVEE reserves the right to add, modify, or discontinue any third-party integration with reasonable notice.

10. Intellectual Property

OVVEE retains all rights, title, and interest in the platform software, themes, and documentation. You retain full ownership of your store content, product data, customer data, and business information.

11. Limitation of Liability

OVVEE is a technology platform and intermediary. It does not participate in the professional, commercial, or transactional relationship between a merchant and their customers. Accordingly:

OVVEE's total cumulative liability to you shall not exceed the total subscription fees paid by you in the 3 months preceding the claim.

OVVEE is not liable for indirect, incidental, consequential, punitive, or special damages.

OVVEE is not liable for any harm caused to end-customers by a merchant's products, services, advice, or professional conduct.

OVVEE does not guarantee uninterrupted, error-free availability of the platform.

Force majeure events (natural disasters, internet outages, government actions) are excluded from liability.

12. Indemnification

You agree to indemnify, defend, and hold harmless OVVEE, its directors, officers, employees, and agents from and against any claims, liabilities, damages, penalties, fines, costs, or expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the platform; (b) your store's operations and customer interactions; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) any professional services rendered by you to your clients.

13. Termination

OVVEE may suspend or terminate accounts that violate these Terms, the Acceptable Use Policy, or any applicable law, with or without prior notice. You may close your account at any time from your admin settings.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation. Unresolved disputes shall be subject to the exclusive jurisdiction of courts in Indore, Madhya Pradesh, India.

15. Amendments

We may update these Terms periodically. Continued use of the platform after notification of changes constitutes acceptance.
